Abstract:
Corporate governance has emerged as an important determinant of organizational adaptability, innovation, and sustainable competitiveness, particularly within the volatile and institutionally diverse environments of emerging markets. However, existing research has largely examined governance and performance through financial outcomes, product innovation, research and development, and developed market contexts, leaving limited integrated understanding of how governance influences service system innovation and firm competitiveness. This study addresses this gap by examining the relationship between corporate governance, service system innovation, and firm competitiveness, while considering the moderating influence of institutional quality and industry characteristics. Drawing on Agency Theory, the Resource Based View, and Institutional Theory, the study adopts an integrative secondary research design based on scholarly literature, corporate reports, industry publications, and institutional sources. The analysis conceptualizes corporate governance as the principal antecedent, service system innovation as a mediating mechanism, firm competitiveness as the outcome, and institutional quality and industry characteristics as contextual moderators. Findings from the synthesis indicate that effective governance mechanisms, including board independence, transparency, accountability, ownership structures, and strategic oversight, can enhance innovation by improving resource allocation, reducing agency conflicts, strengthening strategic decision making, and encouraging informed risk taking. Service system innovation further serves as an important mechanism through which governance contributes to competitiveness by improving service quality, operational efficiency, customer value, market differentiation, and organizational adaptability. However, these relationships vary according to institutional and industry conditions. The study contributes an integrated conceptual framework linking corporate governance, service system innovation, and competitiveness within emerging markets. It concludes that effective governance can function not only as a mechanism of accountability but also as a strategic foundation for innovation and sustainable competitive advantage.
